These Terms & Conditions (“Terms”) govern access to and use of the Acrontec Marketplace Engine (“Software”), provided by Acrontec SaaS Solutions Ltd (“Acrontec”, “we”, “our”, “us”). By accessing or using the Software, the Client (“you”, “your”, “Licensee”) agrees to these Terms.
The Software is licensed to businesses operating marketplaces, delivery networks, or multi‑vendor ordering systems. These Terms apply to all Clients using the Software under a valid SaaS Licence Agreement.
The Software is licensed only to registered businesses. You must provide accurate business information and comply with applicable laws.
Acrontec grants a non‑exclusive, non‑transferable, revocable licence to access and use the Software for the duration of the Agreement. No ownership rights are transferred.
Acrontec retains full ownership of the Software, source code, architecture, and all related intellectual property. Clients may not copy, modify, distribute, resell, sublicense, reverse engineer, or create derivative works.
Letting restaurants, franchisees, delivery drivers, and staff use the hosted marketplace under the Client’s brand does not transfer that ownership and is not a sublicence of the Software.
Acrontec provides hosted access to the Software, including updates, security patches, and infrastructure management. Uptime targets are defined in the SLA.
Clients are responsible for marketplace operations, restaurant onboarding, customer support, compliance with laws, and accuracy of content uploaded to the platform.
Fees are defined in the SaaS Licence Agreement and may include subscription fees, per‑order fees, or per‑restaurant fees. Non‑payment may result in suspension or termination. Amounts the Client charges its restaurants or franchisees are the Client’s own terms and are not Acrontec’s fee.
Clients own all marketplace data. Acrontec may access data only for support, diagnostics, and system improvement. Both parties must comply with UK GDPR.
Acrontec implements encrypted storage, secure authentication, role‑based access control, and regular security audits. Clients must maintain secure passwords and prevent unauthorised access.
Clients may not operate additional marketplaces without approval, use the Software outside the agreed territory, integrate unapproved third‑party systems, or bypass security controls.
The Software may integrate with third‑party services such as payment gateways or mapping tools. Acrontec is not responsible for failures caused by third‑party providers.
Acrontec provides support for technical issues, bug fixes, diagnostics, and infrastructure monitoring. Support does not include operational management of the Client’s marketplace.
Acrontec may suspend access if fees are unpaid, Terms are violated, unlawful activity occurs, or system stability is threatened.
Either party may terminate with 30 days’ notice. Acrontec may terminate immediately for breach, non‑payment, or misuse. Upon termination, access is revoked and data may be exported.
Acrontec is not liable for business losses, operational failures, restaurant disputes, delivery issues, or third‑party service failures. Liability is limited to fees paid in the previous 12 months.
Clients agree to indemnify Acrontec against claims arising from misuse of the Software, unlawful operations, uploaded content, or violations of applicable laws.
These Terms are governed by the laws of England & Wales.
Acrontec may update these Terms with reasonable notice. Continued use of the Software constitutes acceptance of updated Terms.
These Terms, together with the SaaS Licence Agreement, constitute the entire agreement between the parties.
